You will now enter & submit all applicable Document Data Points so we can generate your custom, Personalized Trust Agreements and LLC Operating Agreements. This Questionnaire assumes you (my Customer) are the Trusts' Beneficiary and Management LLC Manager. If that's not the case, you can adjust accordingly if need be.

TIP: NONE of the Data Points have been designated as "Required," although most are. This allows you to do a "dry run" and click through the slides (without having to enter "dummy text") so you can be sure you have all you need. Thus, just be aware that MOST Data Points are NOT optional, so please be sure to complete everything that applies.

Further, this submission by you is our "master" source, trumping anything you may have shared through any other means, so please be sure you're accurate. If you are unsure about something, it's better to STOP, not submit this Document Data Points Questionnaire right now, and get clarity before proceeding.

At the end of the Questionnaire, you'll have an open-ended entry that allows you to add information and you can even attach/upload Documents - so just proceed knowing you can provide context or explanation before you're done!

For short, we'll call them "Subsequent" Beneficiaries. If ANY are NOT your biological Children, please state your relationship (adopted, step, relative, etc.) after providing their name. Additionally, if the Subsequent Beneficiaries are NOT all receiving equal shares, please specify the percentage for each (ensuring the sum totals 100%). TRUST-FUNDING ASSETS: The trust-funding assets are the original property the Trustor is technically giving to the Trustee to care for on behalf of the Beneficiaries. This could literally be anything - such as a pair of chainsaws, a coin collection, some silver bullion, a book collection, or cash. Unless you have certain property you wish to have conveyed right away, keep in mind that assets can be transferred to the Trusts (or the LLCs they own) later. Typically, our initial focus is simply on there being a "completed gift" (offer by Trustor, acceptance by Trustee) so there's an actual property transfer at the epicenter of the Trust Agreement Documents (Trust Instruments) everyone is signing. Further, pragmatically, we want there to be ample cash funding so bank accounts can be opened for the Trusts and LLCs. If you, similarly, simply want the Trusts officially created for now, with adequate funds to cover minimum opening deposits for bank accounts, simply put "bank accounts" in each of the two fields below and we'll know what to do based on the number of Main LLCs you have in your Structure. Now, please specify the assets that will initially fund each Trust:

MANAGEMENT LLC - NAME: We'll now shift gears and cover the LLCs, beginning with the Management LLC. Keep in mind that the Management (Company) LLC does not need to have the word "Management" in the name. However, such a word can be helpful in readily distinguishing the Management Company from your Main LLCs. Now, please provide the name of the Management LLC:

MANAGEMENT LLC - PRINCIPAL PLACE OF BUSINES (PPB): The PPB for the Management LLC is often the address for you (my Customer), typically the Trust Beneficiary. This PPB is not in the public Delaware (or any other) database. You can just use your home address since there is really no privacy concern - unless YOU are publishing the address somewhere. In that case, you can always use a virtual office or mailbox service (PO Box, etc.) as you see fit. Or, maybe you have a physical storefront, etc.? Now, please provide the complete "Principal Place of Business" (PPB) address for the Management LLC:

MANAGEMENT LLC - MANAGER: Please provide the name of the Manager (typically the Trusts' Beneficiary and my Customer) for the Management LLC:

MANAGEMENT LLC - CO-MANAGER (IF ANY): A Co-Manager (which is optional) can be used for business continuity/succession planning, and we generally draft the Operating Agreement to where either Co-Manager can act independently... not requiring the signature of the other (though it doesn't have to be this way). Co-Managers also aid anonymity, in the event you want someone other than yourself to be the "public face" (signing Contracts, dealing with the public, etc.). Now, please provide the name of the Co-Manager (if any) for the Management LLC:

MANAGEMENT LLC - ALTERNATE (IF ANY) PRINCIPAL PLACE OF BUSINESS (PPB): If you like, you can use an address (different from the PPB) for the Mailing Address for the Manager (or a Co-Manager) to receive any notices, etc.. Now, if different from the PPB already provided, please provide the complete Mailing Address of the Manager for the Management LLC (identifying which party it's for, if there are Co-Managers):

MANAGEMENT LLC - ASSISTANT MANAGER (IF ANY): Finally, an Assistant Manager (which is optional) likewise can be used for business continuity/succession planning and/or for privacy of the primary Manager or Co-Managers. An Assistant Manager can operate under power expressly delegated by the Manager and/or in the event the Manager (or both Co-Managers, if so structured) are unavailable (death, other physical absence, mental or physical incapacity, etc.). Most do not designate an Assistant Manager out of the gates, as there are already enough Data Points to pin down. An Assistant Manager can always be added at any time later after Company formation. Now, please provide the name of the Assistant Manager (if any) for the Management LLC:

MANAGEMENT LLC - ASSISTANT MANAGER MAILING ADDRESS (IF ANY): If you added an Assistant Manager, you can provide a Mailing Address for the Assistant Manager to receive any notices, etc.. Now, if you added an Assistant Manager and would like to do so, please provide the complete Mailing Address of the Assistant Manager for the Management LLC:

MAIN LLC - NAME(S): Finally, we'll now cover the Main LLC(s). The Main LLCs can be named nearly anything (not already taken, as revealed in the DE database). A good General Rule is that "generic" names are fungible and can be recycled across time. For instance, though you could certainly guess & get lucky, you'd have no inherent way of knowing if "Stewardship Endeavors, LLC" is the brokerage account and "Enterprise Ventures, LLC" is the real property - or vice versa. Now, please provide the name(s) of the Main LLC(s):

MAIN LLC - PRINCIPAL PLACE OF BUSINESS (PPB) (IF DIFFERENT FROM MANAGEMENT LLC PPB): It's not uncommon, with our "closely held" companies, for the Management and Main LLCs to share the same PPB. Of course, it's also perfectly appropriate for one or more to have a different PPB. Even if all of the Main LLCs share the same PPB as the Management LLC, please enter it into the field below so it's recorded with this data point. For any Main LLC with a different PPB, please specify which ones when you enter that distinct PPB below. MAIN LLC - CO-MANAGER (IF ANY): Due to strategic Structure design, a Co-Manager is not typically named for Main LLCs. However, due to extenuating circumstances (such as "Partnership LLCs"), sometimes we will use Co-Managers. If this applies to you, we've either already discussed this or we will. If we've discussed this, and you need to add a Co-Manager for one or more Main LLCs, you can name them here (and designate the Main LLC they are tethered to). Now, please provide the name of the Co-Manager (if any) for any Main LLC (and identify which Main LLC is implicated):

MAIN LLC - CO-MANAGER MAILING ADDRESS (IF ANY): If you added a Co-Manager for any Main LLC, you can provide a Mailing Address for the Co-Manager to receive any notices, etc. (and designate the Main LLC they are tethered to). Now, if you added a Co-Manager and would like to do so, please provide the complete Mailing Address of the Co-Manager for the Main LLC (and identify which Main LLC is implicated):

SOCIAL SECURITY NUMBER (FOR EINs), QUESTIONS, ADDITIONAL DATA, ETC.: If we are obtaining your EINs for you and don't already have it, we will need your Social Security Number (as the "Responsible Party") and you can enter that here, if you like. Alternately, you can upload it as a file in the next item on this slide. In lieu of that, we can always connect with you via email, phone, or SMS to obtain it later (whatever you're comfortable with).
